Welcome to MRO Logix Aviation ("MRO Logix," "we," "us," or "our"), a product of ZEXOR DIGITAL, LLC. These Terms of Service ("Terms") govern your use of our comprehensive aviation maintenance, repair, and operations (MRO) management platform, including our websites, mobile applications, and any other digital products or services we operate (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Services.

Important Notice: These Services are designed specifically for aviation maintenance professionals and organizations. Use of the Services requires compliance with applicable aviation regulations and industry standards.

Acceptance of Terms

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" will refer to such entity.

MRO Logix provides a comprehensive aviation maintenance management platform that includes:

  • Stock Inventory management with expiry monitoring
  • Incoming Inspections and part inspection workflows
  • Temperature Control and environmental monitoring
  • Oil Consumption tracking and service records
  • Wheel Rotation scheduling and maintenance
  • Technician Training management and certifications

Compliance & Safety:

  • SMS (Safety Management System) reporting
  • SDR (Service Difficulty Reports) management
  • Technical Publications and manual management
  • Anonymous safety reporting capabilities

Business Intelligence:

  • Technical Queries and Q&A systems
  • Notification Center for system-wide communications
  • User Activity monitoring and audit trails
  • Data Analytics including defect trend analysis
  • Fleet Analytics for fleet-specific analysis
  • Weather Integration and monitoring

Additional Features:

  • Digital maintenance logs and records
  • Bulk data operations and management
  • Organization settings and configuration
  • Multi-tenant data isolation by company

Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You are authorized to represent your aviation organization or company
  • Your use of the Services will not violate any applicable laws or regulations
  • All information you provide is accurate and current

The Services are intended for use by aviation maintenance professionals, technicians, and organizations involved in aircraft maintenance, repair, and operations.

User Accounts and Registration

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Company-Scoped Access: Our Services use multi-tenant architecture where your data is isolated by your company or organization. You will only have access to data associated with your registered company.

Account Termination: You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

Data Security and Compliance

Given the critical nature of aviation maintenance data, we implement robust security measures:

Data Protection:

  • All data is encrypted in transit and at rest
  • Database servers comply with ISO 27001 and ISO 27701 standards
  • Regular security audits and monitoring
  • Secure file storage with Google Cloud Storage
  • Company-scoped data isolation ensuring data privacy

Aviation Compliance:

  • You are responsible for ensuring your use of the Services complies with applicable aviation regulations (FAA, EASA, etc.)
  • Maintenance records and data must be maintained according to regulatory requirements
  • We provide tools to support compliance but ultimate responsibility remains with the user

Data Retention: We store your data for 12 months after account closure or as required by applicable aviation regulations, whichever is longer.

User Responsibilities and Conduct

As a user of the Services, you agree to:

Professional Use:

  • Use the Services only for legitimate aviation maintenance and business purposes
  • Ensure accuracy of all data entered into the system
  • Maintain professional standards in all communications and reports
  • Comply with all applicable aviation regulations and safety standards

Prohibited Activities:

  • Violating any applicable laws or regulations
  • Interfering with or disrupting the Services
  • Attempting to gain unauthorized access to other users' data
  • Uploading malicious software or harmful code
  • Using the Services for any unlawful or fraudulent purpose
  • Sharing access credentials with unauthorized parties
  • Reverse engineering or attempting to extract source code

Data Accuracy: You acknowledge that inaccurate maintenance data could impact aviation safety and agree to maintain the highest standards of data accuracy.

Intellectual Property Rights

Our Intellectual Property: The Services, including all software, content, trademarks, logos, and proprietary information, are owned by MRO Logix and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services as set forth in these Terms.

Your Data: You retain ownership of all data, content, and information you submit to the Services ("User Content"). By submitting User Content, you grant us a limited license to use, store, and process your data solely to provide the Services.

Feedback: Any feedback, suggestions, or improvements you provide regarding the Services may be used by us without compensation or attribution.

Third-Party Content: The Services may include content from third parties. We do not endorse or assume responsibility for such content.

Service Availability and Modifications

Availability: We strive to maintain high availability of the Services but cannot guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

Service Modifications: We reserve the right to:

  • Modify, update, or discontinue features of the Services
  • Add new features or functionality
  • Change pricing or subscription plans with reasonable notice
  • Implement security updates and patches

Maintenance Windows: Scheduled maintenance may temporarily interrupt service availability. We will provide advance notice of planned maintenance.

System Status: Current system status and any service interruptions are available through our system status page.

Payment and Billing Terms

Subscription Plans: The Services are offered through various subscription plans with different features and pricing tiers.

Payment Terms:

  • Subscription fees are billed in advance on a recurring basis
  • Payment is due upon receipt of invoice
  • Late payments may result in service suspension
  • All fees are non-refundable except as required by law

Price Changes: We may change our pricing with 30 days' written notice. Changes will not affect your current billing cycle.

Payment Methods: We accept major credit cards and other payment methods as indicated during the payment process.

Taxes: You are responsible for all applicable taxes related to your use of the Services.

Limitation of Liability

DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRO LOGIX SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Service interruptions or technical failures
  • Decisions made based on data or reports from the Services
  • Compliance failures or regulatory violations

AVIATION SAFETY DISCLAIMER: While our Services are designed to support aviation maintenance operations, users remain solely responsible for:

  • Ensuring compliance with all applicable aviation regulations
  • Making appropriate maintenance decisions
  • Verifying data accuracy and completeness
  • Following proper aviation safety procedures

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless MRO Logix, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your User Content or data
  • Any maintenance decisions made using the Services
  • Any regulatory violations or compliance failures
  • Any third-party claims related to your use of the Services

This indemnification obligation will survive termination of these Terms.

Termination

Termination by You: You may terminate your account and these Terms at any time by contacting us or through your account settings.

Termination by Us: We may terminate or suspend your access to the Services immediately, without prior notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or fraudulent activity
  • Threat to service security or integrity
  • Extended periods of inactivity

Effect of Termination:

  • Your right to access the Services will cease immediately
  • We may delete your data after the retention period specified in our Privacy Policy
  • You remain liable for all fees incurred before termination
  • Provisions that should survive termination will remain in effect

Data Export: Upon termination, you may request export of your data subject to technical feasibility and applicable laws.

Regulatory Compliance

Aviation Regulations: Users of the Services must comply with all applicable aviation regulations, including but not limited to:

  • Federal Aviation Administration (FAA) regulations
  • European Union Aviation Safety Agency (EASA) regulations
  • International Civil Aviation Organization (ICAO) standards
  • Local and national aviation authorities' requirements

Record Keeping: You are responsible for maintaining maintenance records in accordance with applicable regulations. Our Services provide tools to assist with record keeping but do not replace your regulatory obligations.

Export Control: The Services may be subject to export control laws. You agree to comply with all applicable export control regulations.

Professional Standards: Users must maintain appropriate professional standards and certifications required for their aviation maintenance activities.

Dispute Resolution

Informal Resolution: Before filing any legal action, you agree to first contact us to attempt to resolve any disputes informally.

Binding Arbitration: Any disputes that cannot be resolved informally will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or collective proceedings.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Daleware, United States, without regard to conflict of law principles.

Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will post the updated Terms on our website
  • We will notify you of material changes via email or in-app notification
  • Changes become effective 30 days after posting unless immediate implementation is required for legal or security reasons
  • Your continued use of the Services after changes become effective constitutes acceptance of the new Terms

Review Responsibility: You are responsible for regularly reviewing these Terms. If you do not agree to any changes, you must discontinue use of the Services.
